ZMAA Special Member Meeting - Jan. 13, 2025
Notice of ZMAA Special Member Meeting to be held virtually on
January 13, 2025 at 6:00PM.ZMAA is an incorporated not-for-profit organization in Ontario. The Not-for-Profit Corporations Act (ONCA) recently replaced Ontario's Corporations Act. ONCA is a set of guidelines and rules for not-for-profit organizations who are incorporated in the province of Ontario. ZMAA is required to ensure our by-laws are compliant with the new legislation and file Articles of Amendment.
Articles of Amendment
In order to comply with ONCA, the ZMAA Executive Board of Directors must file Articles of Amendment which have been drafted with legal counsel. A PDF copy of the draft Articles of Amendment can be found here.
The special resolution to be voted on is as follows:
(a) the Letters Patent/Articles of the Corporation dated April 11, 1995 be amended in
accordance with, and substantially in the form of, the draft Articles of Amendment attached hereto as Schedule “A” to delete the fixed number of Directors of 18 and substitute therefore a range of Directors with a minimum of 3 and a maximum of 30;
By-Laws
In order to comply with ONCA, the ZMAA Executive Board of Directors along with their legal counsel, have drafted the attached by-law. A PDF copy of the draft By-Law No.1 can be found here.
The special resolution to be voted on is as follows:
(a) the existing By-Law No. 1 of the Corporation dated March 21, 1996 be hereby repealed and a new By-Law No. 1 substantially in the form of the draft By-Law No. 1 attached hereto as Schedule “B”, being a By-Law relating generally to the transaction of the business and affairs of the Corporation, be and the same is hereby passed as a general By-Law of the Corporation.
